What you'll do:

As Legal Counsel based in Taipei, you will play a pivotal role in supporting the organisation’s legal needs across multiple domains. Your day-to-day responsibilities will involve drafting and negotiating commercial contracts with both clients and suppliers while ensuring all agreements meet regulatory requirements. You will contribute to corporate governance by assisting with organisational documents and supporting board meetings through meticulous record-keeping. Staying abreast of legislative changes is essential; you will monitor new laws affecting operations and communicate these updates internally. Compliance is at the heart of this role—your reviews will ensure all activities align with group standards. Strategic projects such as investments or mergers & acquisitions will benefit from your legal insight during due diligence phases. Litigation management requires coordination between internal teams and external counsel for effective resolution. Intellectual property protection is another key area where your expertise will safeguard patents, trademarks, trade names, and licences. Training colleagues on compliance topics fosters an ethical culture within the organisation. When assigned ethical case investigations, your thorough approach ensures fair outcomes. Success in this role means being dependable, responsive, knowledgeable about local regulations as well as international standards, and able to collaborate effectively with colleagues across departments.

  • Draft, negotiate, and maintain records for all commercial contracts with clients and suppliers, including gas supply agreements, ensuring clarity and compliance throughout the process.
  • Assist in preparing organisational documents for the company and support the Company Secretary in fulfilling governance responsibilities across multiple entities.
  • Attend board meetings and general meetings as requested, drafting and maintaining accurate minutes and corporate resolutions to ensure proper documentation.
  • Monitor new legislation, regulations, and case law relevant to the company’s operations, communicating updates effectively to internal stakeholders.
  • Ensure all contracts and company activities comply with group standards as well as applicable laws and regulations by providing thorough legal review.
  • Provide legal support for potential investment initiatives and mergers & acquisitions projects by conducting due diligence and advising on transaction structures.
  • Coordinate litigation matters arising in the ordinary course of business by liaising with external counsel and managing internal processes.
  • Manage intellectual property matters including patents, trademarks, trade names, and licenses related to the company’s business operations.
  • Deliver compliance training on antitrust, anti-corruption policies, and code of conduct to promote ethical practices within the organisation.
  • Act as an ethical case investigator when assigned by conducting thorough investigations into reported cases.

What you bring:

The ideal candidate for Legal Counsel brings extensive experience gained from both private practice at reputable law firms and hands-on roles within international corporate legal departments. Your academic background includes a law degree from a respected institution complemented by bar admission credentials that enable you to advise confidently on local or cross-border issues. You possess native-level Mandarin fluency paired with strong English language skills—essential for navigating both domestic regulations and international business environments. Your track record demonstrates proficiency in drafting commercial contracts that protect organisational interests while facilitating smooth transactions. You have supported corporate governance processes through careful preparation of documents required for board meetings or regulatory filings. Keeping up-to-date with evolving legislation is second nature; you proactively inform colleagues about changes impacting operations. Litigation management forms part of your skill set—you coordinate effectively between internal stakeholders and external counsel ensuring timely resolution of disputes. Intellectual property protection is another area where you excel; safeguarding patents or trademarks aligns with your attention to detail. Delivering compliance training comes naturally as you foster understanding around antitrust rules or anti-corruption measures among staff members. Your interpersonal skills allow you to build trust across teams while your commitment ensures reliable support whenever needed.

  • Law degree from a recognised university law faculty demonstrating strong academic foundations in legal principles relevant to commercial practice.
  • At least seven (7) to ten (10) years of relevant work experience combining time spent at a law firm with a minimum of three (3) years in the legal department of an internationally recognised company.
  • Admission to Taiwan or US bar is preferred which enhances your ability to advise on cross-border matters.
  • Native-level fluency in Mandarin enables clear communication with local stakeholders while fluency in English supports engagement with global colleagues.
  • Proven ability to draft complex commercial contracts accurately while maintaining detailed records for future reference.
  • Experience supporting corporate governance functions including preparation of organisational documents and board meeting materials.
  • Demonstrated skill in monitoring regulatory changes affecting business operations coupled with effective communication strategies for internal updates.
  • Expertise in coordinating litigation matters efficiently by liaising between internal teams and external counsel.
  • Knowledge of intellectual property management including patents, trademarks, trade names, licences relevant to business operations.
  • Ability to deliver compliance training on antitrust issues, anti-corruption policies, code of conduct fostering an ethical workplace culture.
