We are seeking a Legal & Compliance Manager to lead legal, compliance, and corporate governance matters in Taiwan, partnering with senior management and global teams to manage risks and ensure regulatory and corporate compliance.

Key Responsibilities

1. Corporate Governance

  • Provide legal support on corporate governance matters, including preparation of Board and Shareholders' Meeting documentation and minutes.
  • Support updates to corporate rules, Articles of Incorporation, Board procedures, and corporate registrations.
  • Coordinate with shareholders and relevant internal stakeholders on corporate governance matters.

2. Legal Advisory

  • Partner closely with senior management and business functions to align business strategies with legal considerations.
  • Provide legal advice on applicable laws, regulations, and regulatory developments.
  • Draft, review, negotiate, and translate contracts and other legal documents in both English and Chinese.
  • Advise on regulatory matters, business licenses, and interactions with government authorities.
  • Provide legal support for M&A, strategic partnerships, and other corporate transactions.
  • Manage litigation, arbitration, and other legal disputes in coordination with external counsel.
  • Provide legal support on product liability, product safety, and recall matters.
  • Coordinate with external legal counsel and global/regional legal teams when required.

3. Compliance

  • Develop, implement, and monitor compliance programs in accordance with global policies and local regulatory requirements.
  • Provide guidance and consultation on the Code of Conduct and other corporate compliance requirements.
  • Support implementation and localization of global compliance policies and procedures.
  • Assess business models, transactions, and activities to identify legal and compliance risks and recommend appropriate mitigation measures.
  • Manage key compliance areas including Anti-Bribery & Anti-Corruption, Antitrust, Anti-Money Laundering, Sanctions, Data Compliance, and other applicable regulatory requirements.
  • Conduct and support compliance risk assessments and monitor the effectiveness of compliance controls.
  • Identify compliance training needs and organize training programs to enhance employee awareness and meet regulatory requirements.
  • Monitor, analyze, and report compliance issues, trends, remediation activities, and overall compliance status to senior management and the global/regional compliance function.
  • Participate in global/regional compliance meetings, training sessions, and other compliance initiatives.
  • Support additional ESG, Human Rights, and other emerging compliance matters as required.

Requirements

Education & Qualification

  • Bachelor's degree in Law or a related legal discipline from an accredited university.
  • Master's degree in Law is preferred.
  • Taiwan Bar admission or other recognized domestic/international legal qualification is a plus.

Experience

  • 5+ years of relevant legal and/or compliance experience, preferably with a combination of law firm and in-house experience.
  • Solid experience in corporate governance, commercial contracts, regulatory matters, and compliance.
  • Experience working in a multinational or international business environment is preferred.
  • Exposure to cross-border transactions, M&A, or strategic business projects is a plus.

  • Strong business acumen and the ability to translate legal and compliance requirements into practical business solutions.
  • Strong communication, stakeholder management, and influencing skills.

  • Strong project management and execution skills.
  • Ability to work independently while collaborating effectively across functions and cultures.
  • High level of integrity, sound judgment, and a proactive approach to risk management.
